1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and DistroFuel ("Company," "we," "our," or "us") governing your access to and use of our website, services, and petroleum trading and distribution operations. By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Eligibility and Business Verification

To engage in petroleum trading with DistroFuel, you must:

  • Be a legally registered business entity in good standing
  • Have the legal authority to enter into binding contracts
  • Provide accurate business credentials and documentation
  • Comply with all applicable trade licenses and permits
  • Pass our Know Your Customer (KYC) and due diligence procedures
  • Not be subject to any trade sanctions or embargoes

We reserve the right to refuse service to any party that fails to meet our verification requirements or poses compliance risks.

3. Services Description

DistroFuel provides the following services:

  • Petroleum Trading: Wholesale trading of crude oil, refined products, and petrochemicals
  • Product Sourcing: Global procurement of EN590 Diesel, Jet Fuel A-1, D6 Virgin Fuel Oil, and Crude Oil
  • Logistics Coordination: Arrangement of shipping, storage, and delivery services
  • Quality Assurance: Independent inspection and certification services
  • Documentation: Preparation of trade documents, certificates of origin, and compliance paperwork

4. Orders and Contracts

All petroleum transactions are subject to the following conditions:

4.1 Quotations

Price quotations are indicative and subject to market conditions. Final pricing is confirmed upon contract execution and may be based on Platts, Argus, or other agreed benchmark pricing mechanisms.

4.2 Contract Formation

A binding contract is formed only upon execution of a formal Sales and Purchase Agreement (SPA) signed by authorized representatives of both parties.

4.3 Minimum Order Quantities

Minimum order quantities vary by product and delivery method. Specific requirements will be communicated during the quotation process.

5. Payment Terms

Payment terms are negotiated on a case-by-case basis and may include:

  • Irrevocable Letter of Credit (LC) from a prime bank
  • Standby Letter of Credit (SBLC)
  • Bank Guarantee (BG)
  • Telegraphic Transfer (TT) with agreed payment schedule
  • Documentary Collection

Late payments may incur interest charges at the rate specified in the contract. We reserve the right to suspend deliveries for overdue accounts.

6. Delivery and Risk Transfer

Delivery terms are governed by Incoterms 2020 as specified in each contract. Common delivery terms include:

  • FOB (Free on Board): Risk transfers when goods pass the ship's rail at loading port
  • CIF (Cost, Insurance, Freight): Seller arranges shipping and insurance to destination port
  • CFR (Cost and Freight): Seller arranges shipping; buyer arranges insurance
  • DAP (Delivered at Place): Seller delivers to named destination

Title and risk of loss transfer in accordance with the agreed Incoterms. Buyer is responsible for import duties, taxes, and customs clearance at destination.

7. Quality and Inspection

All products are supplied in accordance with agreed specifications and international standards:

  • EN590 Diesel complies with European Standard EN 590
  • Jet Fuel A-1 meets AFQRJOS and DEF STAN 91-91 specifications
  • Crude Oil specifications per agreed API gravity and sulfur content
  • D6 Fuel Oil meets ISO 8217 standards

Independent inspection by SGS, Intertek, or other mutually agreed surveyors is standard practice. Inspection certificates are final and binding for quality and quantity determination.

8. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to: acts of God, war, terrorism, civil unrest, government actions, sanctions, embargoes, strikes, natural disasters, pandemics, port closures, or disruptions to shipping lanes. The affected party must notify the other party promptly and take reasonable steps to mitigate the impact.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability shall not exceed the value of the specific transaction giving rise to the claim
  • We are not liable for indirect, consequential, incidental, or punitive damages
  • We are not liable for lost profits, business interruption, or loss of data
  • Claims must be submitted in writing within 30 days of delivery or discovery of the issue

10. Regulatory Compliance

Both parties agree to comply with all applicable laws and regulations, including:

  • International trade sanctions (UN, EU, US OFAC, UK)
  • Anti-money laundering (AML) regulations
  • Anti-bribery and corruption laws (FCPA, UK Bribery Act)
  • Environmental regulations and emissions standards
  • Maritime and shipping regulations
  • Customs and import/export controls

Violation of compliance requirements may result in immediate contract termination without liability to DistroFuel.

11. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information, pricing, trade terms, and business strategies disclosed during the course of our relationship. This obligation survives termination of any agreement and continues for a period of five years thereafter.

12. Dispute Resolution

Any disputes arising from these Terms or related contracts shall be resolved as follows:

  • Negotiation: Parties shall first attempt to resolve disputes through good faith negotiation
  • Mediation: If negotiation fails, parties may engage a neutral mediator
  • Arbitration: Unresolved disputes shall be submitted to binding arbitration under ICC Rules in Geneva, Switzerland

The arbitration shall be conducted in English, and the decision shall be final and binding on both parties.

13. Governing Law

These Terms and any contracts entered into hereunder shall be governed by and construed in accordance with the laws of Switzerland, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall apply to international sales transactions unless expressly excluded in the contract.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website with an updated "Last Updated" date. Continued use of our services after modifications constitutes acceptance of the revised Terms. Material changes will be communicated to active clients via email.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
